Terms of Service
These Terms of Service govern your use of NeverPaid and explain the rules that apply when you create an account, approve charges, and use the subscription management features.
1. Service Description
NeverPaid ("NeverPaid," "we," "us") provides a subscription management platform that helps you review, approve, or block charges before they are billed to your payment method. NeverPaid is not a bank. Banking services are provided by Celtic Bank, Member FDIC, through Stripe Issuing.
2. Eligibility
You must be at least 18 years of age and a resident of the United States to use NeverPaid. By creating an account you represent that all information you provide is accurate and complete.
3. Account Security and Two-Factor Authentication
Your account and charge-review features are inactive until you enable two-factor authentication (2FA). You are solely responsible for maintaining the confidentiality of your login credentials and authenticator app. NeverPaid will not be liable for unauthorized access resulting from your failure to secure your account.
4. Approval Fees
When you approve a subscription charge through NeverPaid, a $0.10 approval fee is charged to your payment method in addition to the subscription amount. This fee covers the cost of the authorization and JIT-funding infrastructure. Blocked charges incur no fee.
5. Payment Method
You must add a valid U.S. payment card to fund approvals. By saving a payment method, you authorize NeverPaid and Stripe to charge that card for approved subscription amounts plus the applicable approval fee. Charges are processed off-session; you will be notified by email of each transaction.
6. Subscription Use
NeverPaid may only be used for subscription services. You may not use it for cash advances, peer-to-peer transfers, or any unlawful purpose. NeverPaid may immediately suspend or terminate access if misuse is detected.
7. Privacy
NeverPaid collects and processes your personal information (including name, address, and date of birth) solely to manage your subscription approvals and comply with applicable law. We do not sell your personal information to third parties. For full details see our Privacy Policy.
8. Data Retention
Transaction records are retained for up to 2 years. Account data is retained for the life of your account plus 30 days after deletion (GDPR erasure window). Audit logs are retained for 7 years for compliance purposes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEVERPAID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. NEVERPAID'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $50 OR THE TOTAL FEES YOU PAID TO NEVERPAID IN THE 30 DAYS PRECEDING THE CLAIM.
10. Disputes
Any dispute arising out of or related to these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
11. Changes to Terms
NeverPaid may modify these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.
